Terms of Service

These terms govern your use of the ReGenesis platform. ReGenesis is currently offered as an invite-led pilot, and these terms reflect that early stage.

1. Acceptance of Terms

These Terms are an agreement between you and ReGenesis, Inc., a Delaware public benefit corporation ("ReGenesis," "we," or "us"). By accessing or using the ReGenesis marketing site or application (the "Service"), you agree to be bound by these Terms of Service ("Terms") and by our Privacy Policy. If you do not agree, do not use the Service. If you use the Service on behalf of an organization, you represent that you are authorized to bind that organization to these Terms.

2. Description of the Service

ReGenesis is a governed coaching platform that supports reflective coaching engagements between coaches, the people they coach ("coachees"), and organizations. The Service includes features such as session capture, AI-assisted notes and summaries, and consent-governed sharing.

The Service is currently provided as an invite-led pilot. Features may change, and the Service may be unavailable from time to time. We may add, modify, or discontinue features during the pilot.

3. Eligibility and Accounts

You must be at least 18 years old and able to form a binding contract to use the Service. Access is currently by invitation. You are responsible for the accuracy of your account information and for maintaining the confidentiality of your credentials. You are responsible for activity that occurs under your account, and you agree to notify us promptly of any unauthorized use.

4. Acceptable Use

You agree not to:

  • Use the Service in violation of any applicable law or regulation.
  • Access, record, or share content without the consent required by the Service or by law.
  • Attempt to gain unauthorized access to the Service, other accounts, or our systems, or to probe, scan, or circumvent security or access controls.
  • Interfere with or disrupt the integrity or performance of the Service.
  • Upload malicious code, or use the Service to harass, harm, or infringe the rights of others.
  • Reverse engineer or misuse the Service except to the extent permitted by law.

5. Coach and Coachee Responsibilities

Coaching on ReGenesis depends on consent and trust. Coaches and coachees are responsible for obtaining and honoring the consents required before recording sessions or sharing content, and for using session content and AI-generated notes responsibly and lawfully. Coaches are responsible for ensuring they have the right to connect any third-party data (such as calendars or documents) and to import client material into the Service. The Service provides consent and privacy-tier controls; you are responsible for using them appropriately.

6. AI-Generated Content

The Service generates notes, summaries, and reflections with the assistance of AI. This content is intended to support awareness and reflection in a coaching context. It is not professional, medical, psychological, legal, or financial advice, and it is not a substitute for advice from a qualified professional.

AI-generated content may contain errors or omissions. You are responsible for reviewing it and exercising your own judgment before relying on or acting on it. ReGenesis does not coach on, and is designed to redirect away from, certain sensitive domains (such as self-harm, clinical mental health, and other safety-critical areas).

7. Intellectual Property

ReGenesis and its licensors own the Service, including its software, design, and trademarks. We grant you a limited, non-exclusive, non-transferable, revocable right to use the Service in accordance with these Terms.

You retain ownership of the content you and your coachees provide ("Customer Content"). You grant ReGenesis a limited license to host, process, and display Customer Content solely to provide and operate the Service, subject to our Privacy Policy. We do not use Customer Content to train general-purpose AI models.

8. Privacy

Our handling of personal data is described in our Privacy Policy, which is incorporated into these Terms by reference. Please review it to understand how we collect, use, and protect information, including any Google user data you choose to connect.

9. Disclaimers

The Service is provided on an "as is" and "as available" basis, and is currently offered as a pilot. To the fullest extent permitted by law, ReGenesis disclaims all warranties, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure.

10. Limitation of Liability

To the fullest extent permitted by law, ReGenesis and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or goodwill, arising out of or relating to your use of the Service. Our total liability for any claim relating to the Service will not exceed the greater of the amounts you paid us for the Service in the twelve months before the claim or one hundred U.S. dollars (USD $100).

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for gross negligence, willful misconduct, or fraud.

11. Termination

You may stop using the Service at any time. We may suspend or terminate your access if you violate these Terms, if required by law, or if we discontinue the Service or the pilot. On termination, your right to use the Service ends. You may request export or deletion of your data as described in our Privacy Policy, and provisions that by their nature should survive (such as intellectual property, disclaimers, and limitation of liability) will survive.

12. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will update the effective date above and, where appropriate, provide additional notice. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

13. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws rules. You and ReGenesis, Inc. submit to the exclusive jurisdiction and venue of the state and federal courts located in Delaware for any dispute arising out of or relating to these Terms or the Service.
